          Distributed Relational Database Service DRDS

          DRDS Service Level Agreement (SLA)

          Effective date of the agreement: January 15, 2019.

          The Service Level Agreement (referred to as "SLA") specifies the service availability level index and compensation scheme of the Distributed Relational Database Service (hereinafter referred to as "DRDS") provided by Baidu AI Cloud to users.

          1. Definitions

          Service cycle: A service cycle is a natural month.

          Total minutes of a service cycle: Total minutes of a service cycle: ** Calculated based on the total number of days * 24 (hours) * 60 (minutes) in the service cycle.

          Unavailable minutes of the service: When you fail to establish a connection with the specified DRDS instance for above five minutes, it is deemed that this DRDS instance service is unavailable during this period. The sum of unavailable minutes of the DRDS instance within one service cycle is the service unavailable minutes.

          Monthly service fee: Means the total service fee paid by the user for a single DRDS instance in a natural month. If the user pays the service fee for multiple months at one time, the monthly service fee is calculated based on the number of months purchased.

          2. Service availability

          2.1 Service availability calculation formula

          The service availability is calculated as follows with single instance as dimension:

          2.2 Service availability commitment

          The committed service availability of the DRDS is no less than 99.90%, i.e., the user's monthly business availability time should be 30?24?60?99.90%=43156.8 (minutes), and there is an unavailable time of 43200-43156.8=43.2 (minutes).

          If the DRDS fails to reach the service availability commitment above, the user can obtain compensation stipulated in this agreement. The scope of compensation does not include the service unavailability time caused by the following:

          (1) System maintenance after Baidu AI Cloud notified users in advance, including handover, maintenance, upgrade and simulated failure drill;

          (2) Any network or equipment failure or configuration adjustment other than the equipment which are in the possession of Baidu AI Cloud;

          (3) Attack to the user's application or data information by hackers;

          (4) Improper setting of the whitelist of the DRDS by users;

          (5) Memory overflow of the DRDS node due to complex and slow SQL sent by the user to the DRDS;

          (6) Change and deletion of the VPC corresponding to the DRDS instance by the user;

          (7) Loss or leakage of data and passwords caused by improper maintenance or confidentiality of the user;

          (8) Negligence of the user or operation authorized by the user;

          (9) User's failure to follow the Baidu AI Cloud product documentations or use recommendations;

          (10) Force majeure or other accidents;

          (11) Unavailability caused by reasons other than Baidu AI Cloud.

          3. Compensation scheme

          3.1 Compensation standards

          For each cloud database DRDS instance (as per single instance monthly service availability), the compensation amount is calculated according to the standard in the following table. The compensation mode is only limited to purchasing the vouchers for cloud database DRDS products, and the total compensation does not exceed the monthly service fee to be paid by the user for this cloud database DRDS instance for the month when the service availability is not reached.

          Less than 99.00% but equal to or higher than 95.00% 30% of monthly service fee
          Less than 95.00% 100% of monthly service fee

          3.2 Time limit for compensation application

          The user can apply for compensation after the fifth (5th) working day of each month for instances failing to reach availability last month. The user must make the compensation application within two (2) months after the end of the relevant month when the DRDS instance is not available. The compensation application exceeding the time limit will not be accepted.

          4. Others

          (1) Baidu reserves the right to give final interpretation of this agreement to the extent permitted by laws and regulations.

          (2) Baidu AI Cloud has the right to amend the SLA clauses. If there are any changes in the SLA clause, Baidu AI Cloud will notify you by website bulletin or by email. If you do not agree with Baidu AI Cloud's modification to the SLA, you have the right to stop using the DRDS services. If you continue to use the DRDS service, you are deemed to accept the SLA after modification.

          (3) All notices given by Baidu AI Cloud for the DRDS services to the user under this agreement can be made by sending a webpage notice, station letter, email, short message or in other forms. Such notices should be deemed to have been delivered to the recipient on the date of delivery. Baidu AI Cloud should not take responsibilities for any losses by the user.

          (4) The conclusion, execution and interpretation of this agreement and the settlement of disputes shall be governed by Chinese laws and shall be subject to the jurisdiction of Chinese courts. In case of any dispute between both parties regarding the content of this agreement or its execution, both parties shall try their best to resolve it through friendly negotiation. In case of failure to settle the dispute through the negotiation, either party may bring a lawsuit to the Haidian District People's Court, Beijing.

          (5) This agreement constitutes the entire agreement between both parties on the matters agreed herein and other related matters. Unless otherwise stipulated in this agreement, no other rights are granted to the parties hereto.

          (6) If any provisions in this agreement is totally or partially invalid or unenforceable for any reason, the remaining provisions in this agreement shall remain effective and binding.

          (7) For the provisions regarding the user restriction, see the relevant provisions specified in the "User's Rights and Obligations" of the User Service Agreement.

          (8) For the exemption clause applicable to the service providers, see the relevant clause of "Disclaimer" in the User Service Agreement.
