I. Products/Services Purchased by Party A

Note:
- The above “amounts payable” are all estimated amounts after applying any discounts/rebates.
- If the order includes an upgrade order, the amount for the upgrade order will decrease as the payment time is delayed, and the actual amount shall be based on the amount displayed at the time of payment.
- If Party A continues consuming the products specified herein after exhausting the aforementioned products without separately negotiating other cooperation content or signing additional agreements with Baidu AI Cloud, it shall be deemed that Party A agrees to continue consumption at the prices stipulated herein and pay fees as per the contract. The specific amounts shall be subject to the Baidu AI Cloud billing statement.
II. Governing Agreements
This Agreement is subject to the relevant agreements of Baidu AI Cloud International (accepted by Party A through means including but not limited to signature or online click confirmation during registration or product/service ordering), which include the "Baidu AI Cloud International User Service Agreement", "Baidu AI Cloud International Terms of Use", "Baidu AI Cloud International Product and Service Terms", and "Baidu AI Cloud International Privacy Policy", as well as other agreements and policies publicly displayed on Baidu AI Cloud International (collectively referred to as the "Baidu AI Cloud International Agreements"). In case of any inconsistency with the terms herein, the aforementioned agreements/policies shall prevail. The URL for the Baidu AI Cloud International agreements: intl.cloud.baidu.com
III. Purpose of This Agreement
The order placed by Party A for the purchase of Baidu AI Cloud–related products/services has taken effect. This Agreement is provided at the request of Party A and is solely for Party A’s internal reimbursement purposes. It does not constitute any amendment or supplement to, nor does it affect the validity of, any other agreements between the Parties or the corresponding orders. The specific products or services actually consumed by Party A and the corresponding rights and obligations shall be governed by the "Baidu AI Cloud International User Service Agreement", "Baidu AI Cloud International Terms of Use", "Baidu AI Cloud International Product and Service Terms", "Baidu AI Cloud International Privacy Policy", and other Baidu AI Cloud International agreements.
IV. Timely Payment by Party A
- The prepaid products ordered by Party A can only be activated after Party A has made payment. Party A shall make payment within the order validity period, namely by [MM/DD/YYYY, HH:MM:SS]. If payment or renewal is not made in time, Party A’s product order and this Agreement shall expire or be terminated early; if the order under this Agreement is successfully paid for or canceled by Party A, this Agreement shall automatically expire or be terminated early. If Party A wishes to continue using the service upon its expiration, Party A must pay the renewal fee in advance to extend the service. Before using Baidu AI Cloud products and services, Party A must top up its account in advance. When purchasing a service, Baidu AI Cloud will deduct the service fee from Party A’s account. If the account balance is insufficient to cover the service fee, Baidu AI Cloud reserves the right to refuse to provide the service to Party A.
- If Party A purchases a service on a post-paid basis, such as pay-as-you-go or pay-per-use, Party A may activate the service first. Baidu AI Cloud will, depending on the service type, automatically calculate the usage for the preceding billing cycle on an hourly, daily, or monthly basis, and deduct the corresponding service fees from Party A’s Baidu AI Cloud account balance. If Party A’s account balance is insufficient to cover the fees, Baidu AI Cloud shall have the right, starting from the date of the first failed deduction (i.e., the day following the end of the relevant billing cycle when the balance was insufficient), to require Party A to pay late payment penalties and/or interest, and shall also have the right to terminate at any time the related services already subscribed to by Party A. The specific deduction rules and billing items shall be subject to the information published on the Baidu AI Cloud International website (intl.cloud.baidu.com).
V. Payment Method
Party A may make payment via bank transfer to the following account designated by Baidu AI Cloud (to ensure service continuity, if Party A chooses an offline payment method, it should allow sufficient time for Baidu AI Cloud to verify the payment receipt and complete the account top-up):
